General conditions

1. Definitions
In these General Terms and Conditions, the following definitions shall apply:
Lammp: The company offering the services, registered under BE1011258850, located at Begonialei 9, 2170 Antwerp.
Customer: The natural person or legal entity entering into a contract with Lammp.
Contract: Every contract concluded between Lammp and the Customer.
Services: All services offered by Lammp, including but not limited to integration, installation, and study work related to techniques and technology in buildings.

2. Applicability
These Terms and Conditions apply to all offers, contracts, supplies, and services of Lammp, unless otherwise agreed in writing.
Deviations from these Terms and Conditions are binding only if and insofar as they are confirmed in writing by Lammp.

3. Quotations and Contracts
All of Lammp’s quotations are non-binding and valid for 30 days unless otherwise stated.
A contract comes into effect when the customer accepts the quotation in writing or electronically.
Lammp reserves the right to refuse orders without giving reasons.

4. Prices and Payment
All prices are exclusive of VAT and other government levies.
Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
In case of late payment, the customer is legally in default, and an interest of 1% per month on the outstanding amount is due.

5. Performance of the Services
Lammp will perform the services to the best of its knowledge and ability in accordance with the requirements of good workmanship.
Lammp is entitled to have certain work performed by third parties if this is necessary for the proper performance of the contract.
Deadlines for the performance of the services are indicative and are never strict deadlines. Exceeding a deadline does not entitle the customer to compensation or rescission of the contract.

6. Obligations of the Customer
The Customer must provide all information and cooperation necessary for the performance of the contract.
The Customer is responsible for the accuracy, completeness, and reliability of the information provided to Lammp.
If the information necessary for the performance of the contract is not provided to Lammp in a timely manner, Lammp is entitled to suspend performance of the contract and/or to charge the Customer for the costs arising from the delay.

7. Liability
Lammp is only liable for direct damages which are caused by gross negligence or intent on the part of Lammp or its employees.
Lammp’s liability is limited to the amount covered by the insurance or, if the insurance does not cover it, to a maximum of the invoice amount for the contract in question.
Lammp is not liable for indirect damages, including consequential damages, lost profits, missed savings, and damages due to business interruption.

8. Force majeure
Lammp is not obliged to perform any obligation if it is prevented from doing so due to force majeure.
Force majeure is defined as any circumstance beyond Lammp’s control which permanently or temporarily prevents performance of the contract.
In the event of force majeure, Lammp is entitled to suspend performance of the contract or to rescind the contract, without Lammp being liable to pay any compensation.

9. Termination of the Agreement
Either party may terminate the contract in writing with 30 days’ notice.
In the event of bankruptcy, suspension of payments or liquidation of the customer, Lammp is entitled to terminate the contract with immediate effect.

10. Intellectual Property
All intellectual property rights relating to Lammp’s services and products are vested in Lammp.
The customer only acquires a non-exclusive, non-transferable right of use for the duration of the contract.

11. Confidentiality
Both parties are obliged to keep confidential all confidential information they have obtained from each other or from other sources in the context of the agreement.
Information is considered confidential if it has been communicated by the other party or if it arises from the nature of the information.

12. Applicable Law and Disputes
All legal relationships to which Lammp is a party are governed exclusively by Belgian law.
Disputes between Lammp and the Customer are submitted exclusively to the competent courts of the judicial district of Antwerp.

13. Amendments
Lammp reserves the right to amend or supplement these Terms and Conditions.
Amendments will be communicated to the customer in writing at least 30 days before they take effect.
